Oriweb - SUB-ACCOUNT AGREEMENT

In the Agreement, the party who is granting the right to register domains through the use of a sub account will be referred to as "Oriweb", and the other party who is receiving the right to register the domains will be referred to as "Affiliate".

The parties agree as follows:

1. RIGHT TO REGISTER. In accordance with this Agreement, Oriweb grants Affiliate a non-exclusive right to register the Domains under the terms of this Agreement. Affiliate agrees to devote his best efforts to the registration and maintenance of the Domains and the WHOIS database.
2. RECORDS. Affiliate shall keep accurate records regarding the quantities and ownership of the Domains that are sold. Oriweb shall have the right to inspect such records from time to time after providing reasonable notice of such intent to Affiliate.
3. PAYROLL TAXES. Affiliate shall be exclusively liable for, and shall indemnify Oriweb against such liability for, all employee payroll taxes and insurance arising out of wages payable to persons employed by Affiliate in connection with the performance of this Agreement.
4. DEFAULTS. Affiliate agrees to abide by the obligations of this Agreement, as well as the rules set forth at: www.oriweb.com (including the Disclaimer, Registration Agreement, Terms, Dispute Policy, Reseller and FAQ pages). Oriweb shall have the option to cancel this Agreement by providing two days' written notice to Affiliate. Affiliate shall have the option of preventing the termination of this Agreement by taking corrective action that cures the default, if such corrective action is taken prior to the end of the time period stated in the previous sentence, and if there are no other defaults during such time period.
5. WARRANTIES. Neither party makes any warranties with respect to the use, sale or other transfer of the Domains by the other party or by any third party. In no event will Oriweb be liable for direct, indirect, special, incidental, or consequential damages, that are in any way related to the Domains.
6. TRANSFER OF RIGHTS. This Agreement shall be binding on any successors of the parties. Neither party shall have the right to assign its interests in this Agreement unless the prior written consent of the other party is obtained.
7. TERMINATION. This Agreement may be terminated by either party by providing three days' written notice to the other party.
8. AMENDMENT. This Agreement may be modified or amended at any time by Oriweb.com. By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. If any of the modifications are unacceptable to you, your only recourse is to terminate this agreement. If you continue participation in the program following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change.
9. SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
10. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
11. APPLICABLE LAW. This Agreement shall be governed by the laws of the State of Illinois and any legal action will be filed and enforced in the state of Illinois, Cook County.
12. Oriweb will make all reasonable efforts to keep your cost the same as the option that you chose when you initially signed up. If there has to be a price increase, Oriweb will provide you with an email notification at least five days in advance. At this time, we do not foresee any price increases.
13. Oriweb will not maintain the domains in the sub account that is established for Affiliate. Affiliate will be solely responsible and accountable for the following:
    1. That all domains in the sub account contain accurate registrant owner information.
    2. Monitoring and renewing any domains for himself and his customers
    3. Maintaining records and passwords for his customers
    4. Providing support for his customers
    5. Notifying his customer’s of any factors that may affect their domains, including pending expiration dates
    6. Resolving any disputes that should arise in regard to the domains in his sub account

Additional Terms

1. Once a domain is registered, there will be no refunds for that domain. Please verify that the domain with your customer and check for any typographical errors before submitting it.
2. It is your responsibility to communicate with your customer, we will not contact them unless we are unable to resolve an issue through you first.
3. Only you are authorized to resell domains through Oriweb, there can be no resellers of resellers.
4. Reseller must never use any image, name, logo mark or photo of, nor any descriptive or explanatory text relating to, nor any reference to, another company, product or brand name in reference or relation to Oriweb.

6. All questions, requests, concerns, comments, etc. should be directed to Oriweb (support@oriweb.com) and will then be directed to the appropriate personnel.

SPAM (Unsolicited Commercial E-mail)

Oriweb in no way participates in mass unsolicited e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy or any of the above terms will result in the termination of this agreement and immediate dismissal from the Reseller Program.

Affiliate acknowledges that Oriweb will provide limited support for this sub account and agrees to release, imdemnify, and hold Oriweb and the Site Owner, harmless of and from all liabilities, claims, expenses, and attorney's fees. Furthermore, Affiliate agrees to assume all responsibility/liability for any actions taken by any third party or any of his customers.

By requesting a sub account, you are agreeing that you read and agree to all of the above terms of this agreement and have entered a legal and binding contract.
